These Terms & Conditions (“Terms”) govern your access to and use of the RevivApp mobile application and any related content, features, or services provided by RevivApp Inc. (“RevivApp”, “Company”, “we”, “us”, “our”), a corporation incorporated in Canada with a registered office at 315 Lillian St. Thunder Bay, ON., Canada P7A 1J1.

By installing, accessing, or using the RevivApp mobile application (the “App”) or any associated services (together, the “Services”), you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, you must not use the App.

 
1. Definitions

• “Account”: Your unique registration credentials used to access the App.
• “Content”: All text, graphics, data, software, audio, video, and materials provided in the App.
• “Services”: All features, tools, AI-based outputs, insights, and functionality made available through the App.
• “User-Generated Content”: Any content you submit, upload, post, or otherwise make available through the App.
• “Subscription”: Any paid plan or purchase within the App.
• "Applicable Law”: All federal and provincial Canadian laws, along with any laws that apply in your region.

 
2. Licence to Use

2.1 We grant you a personal, non-exclusive, non-transferable, revocable licence to download, install, and use the App.

2.2 Use of third-party platforms (e.g., Apple App Store, Google Play) may be subject to additional terms.

2.3 We may suspend, revoke, or modify this licence at any time to protect the App, Users, or compliance obligations.

 
3. Eligibility

You represent and warrant that:

• You are 18 years or older;
• You have legal capacity to enter into these Terms;
• You comply with the laws of your jurisdiction;
• If using the App on behalf of an organization, you have authority to bind that organization.
   
  

  4. Account Registration & Security

• 4.1 You must provide accurate and complete information when creating an Account.
• 4.2 You are responsible for maintaining the confidentiality of your login credentials.
• 4.3 Notify us immediately of any unauthorized Account access.

 
5. Acceptable Use & Prohibited Activities

You agree NOT to:

• Use the App for illegal purposes;
• Reverse-engineer, copy, or exploit the App’s code, AI models, or content;
• Interfere with servers, networks, or App functionality;
• Upload harmful, abusive, or infringing materials;
• Attempt unauthorized access to any system or account;
• Use bots, scrapers, or automation tools without permission.

We may suspend or terminate your access if you violate these Terms.

 
6. User-Generated Content

6.1 You retain ownership of your User-Generated Content.
6.2 You grant RevivApp a worldwide, royalty-free, transferable licence to use, reproduce, and display such Content for App functionality, feature development, and improvements.
6.3 You represent that your content does not violate any law or rights.
6.4 We may remove content at our discretion for safety, privacy, or compliance reasons.

 
7. Intellectual Property Rights

7.1 All intellectual property in the App (software, AI models, branding, design, content) belongs exclusively to RevivApp or its licensors.

7.2 You may not modify, copy, distribute, or create derivative works from the App except as expressly permitted.

7.3 Any feedback or suggestions provided by you become the exclusive property of RevivApp.

 
8. Subscriptions, Payments & Refunds

8.1 Subscription fees must be paid according to the terms presented at purchase.
8.2 Subscriptions renew automatically unless cancelled before the renewal date.
8.3 Fees are non-refundable unless required by law or explicitly stated.
8.4 We may modify pricing with advance notice.

 
9. Wellness Disclaimer (Aligned with Privacy Policy)

9.1 RevivApp provides wellness, informational, and AI-generated support only. It is not a medical or mental-health service.

9.2 RevivApp:

• Does not diagnose, treat, or prevent any illness
• Is not a substitute for professional mental-health advice
• Should not be used in emergencies or crisis situations

9.3 You agree to consult a qualified professional before making decisions related to your physical or mental health.

 
10. Third-Party Professionals (If Applicable)

If the App connects you with therapists, coaches, or other professionals:

• They operate independently, not as employees or agents of RevivApp.
• RevivApp is not responsible for their actions, advice, or conduct.
• Interactions with such providers may be governed by their own terms.
   
  

  11. Limitation of Liability

To the maximum extent allowed by law, RevivApp is not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, goodwill, or use
• Damages resulting from your use or inability to use the App
• Reliance on AI outputs or wellness insights

Our total liability shall not exceed the amount paid by you in the last 12 months, or CAD $100 if no payments were made.

 
12. Indemnification

You agree to indemnify and hold harmless RevivApp and its affiliates against claims arising from:

• Your use of the App
• Your breach of these Terms
• Your User-Generated Content
• Your violation of Applicable Law
   
  

  13. Termination

We may suspend or terminate your Account or access to the App at any time.

Upon termination:

• Licences granted to you end immediately
• You must delete the App
• Certain sections survive termination (IP rights, disclaimers, liability, indemnification)
   
  

  14. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.

 
15. Privacy & Data Protection

Your use of the App is governed by our Privacy Policy, which forms part of these Terms.

This section ensures alignment between both documents.

 
16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.

Exclusive jurisdiction:
Courts of Thunder Bay, Ontario, Canada.

Optional arbitration clause may be added upon request.
